3. OVERVIEW

AlarmForce Industries Inc. (“the Company”) is a public reporting company whose shares are listed on the Toronto stock exchange. The Company provides security systems and monitoring services in Canada and in the US, primarily in the residential market. The majority of revenue is generated from monthly recurring revenue (MRR) derived from three-year and four-year (pre-2005) subscriber agreements. Under its standard customer contract, the Company charges a fixed monthly fee for the system including monitoring and service. AlarmForce manufactures and installs alarm equipment, which it continues to own under the terms of the subscriber agreement. The Company’s base of subscribers has expanded with the addition of new monitored accounts, and as a result the total monthly recurring revenue from subscribers has increased, resulting in growth in revenue, operating margins and cash flows.

In 2005, the Company changed the term of the subscriber contracts going forward from four years to three years. Thus, revenue from the sale of add-on equipment, which consists principally of optional system features to new and existing subscribers, is deferred and recognized over the three-year term of the subscriber agreement.

The Company continues to be Canada’s largest installer of two-way voice home security systems. The monitored subscriber base has increased from 57,000 accounts at the end of the 2005 fiscal year to approximately 66,300 accounts at the end of the 2006 fiscal year, and MRR has increased correspondingly.

AlarmForce expanded its operations into the US in early 2005, with the first phase based in Charlotte in the State of North Carolina and since then has continued expanding into Ohio. The Company currently installs and services alarm systems in six major American centers (Charlotte, Raleigh, Winston-Salem, Columbus, Cincinnati, and Cleveland) for a combined market population of 19.4 Million. Over the next several years, the Company will establish brand recognition by aggressively advertising to these new markets via radio, television, print and other media introducing the benefits of the Company’s two-way voice alarm system. Approximately 3% of the total number of subscriber accounts monitored at the end of the 2006 fiscal year were located in the US.

Testimonials

  • Very happy with AlarmForce.  Service and peace of mind is priced right.
    -Ken, ON
  • I have had alarm Force for well over a year. I have been lucky that nothing bad has happened. But it's the peace of mind knowing I am protected. My payment is reasonable and well worth it. and the nice thing is that my payment is deducted right out of the bank monthly. This saves me the hassle of remembering to send it every month. Thank You Alarm Force for giving a sense of security. which we all need these days
    -Jane, MN
  • We have had our alarm system for many years now and have not had any problems.  When we have set off the alarm, the reps I have dealt with have been wonderful.

    -Robert, GA
  • "I was reading a bedtime story to my son the other night. I was finished reading and went to turn on the alarm for the night. I came back to tuck my 8 year old in and he said 'I sleep better knowing the alarm is set and those people are watching out for us'. Thanks AlarmForce!"
    -Mike, Line Lakes, MN
  • As a child I remember being afraid of the dark. Even as an adult a scary movie or a bump in the night would set off that fear. I can avoid watching scary movies but i can not prevent a break in to my home...or can I? I have never felt so safe with an alarm system like AlarmForce. Not only do I arm my home during the day while at work, my home is armed while I am home alone and during the times where things go bump in the night. I sleep easy knowing that my home is armed. I would recommend Alarmforce to anyone the same way that got me on board with protecting my home. I have had alarm systems in past homes but nothing compares to having a live person monitoring your home when the alarm is triggered with a real threat or false alarm. I can honestly say I sleep better at night. Knowing that any intruder would see that my house is armed and know what they are up against is comfort in its own. I have no action packed glorified story...just a better nights sleep and a well secured protected home with AlarmForce. Thanks for everything.
